1. Overview

These Terms of Service ("Terms") govern your access to and use of the Golf and Trades website, platform, member portal, courses, coaching services, downloads, tools, community, and all related content and services (collectively, the "Platform") operated by GolfandTrades, LLC, a Delaware limited liability company ("Golf and Trades," "we," "us," or "our").

By accessing or using the Platform in any way — including browsing the website, creating an account, purchasing a membership, or accessing any member content — you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

These Terms constitute a legally binding agreement between you and GolfandTrades, LLC. Your electronic acceptance (including clicking "I Agree," checking an acknowledgment box, or continuing to use the Platform after notice of updated Terms) constitutes your signature and acceptance of these Terms to the fullest extent permitted by applicable law.

2. Eligibility and Accounts

You must be at least 18 years of age and legally capable of entering into a binding contract to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect unauthorized access to your account.

Account sharing is strictly prohibited. Your account is for your personal use only. Sharing your login credentials with any other person — whether for free or for compensation — is a material breach of these Terms and may result in immediate suspension or termination of your account without refund.

3. Educational Purpose Only

Golf and Trades is an educational content platform. We teach concepts, frameworks, strategies, and skills related to trading, futures markets, golf, mindset, and performance. We are not a registered investment adviser, broker-dealer, commodity trading adviser, financial planner, attorney, accountant, or any other licensed professional.

4. No Legal, Tax, Accounting, Financial, Investment, or Trading Advice

Nothing on the Platform constitutes legal advice, tax advice, accounting advice, financial advice, investment advice, or trading advice. No attorney-client relationship, adviser-client relationship, fiduciary relationship, or any other professional advisory relationship is created by your use of the Platform.

You should consult a qualified attorney, tax professional, accountant, financial adviser, or other licensed professional for advice specific to your individual circumstances before making any legal, tax, financial, or trading decisions.

5. No Solicitation or Recommendation

Nothing on the Platform is a recommendation, offer, or solicitation to buy, sell, hold, or otherwise transact in any futures contract, option, security, commodity, currency, cryptocurrency, or other financial instrument. Any discussion of specific instruments, strategies, or market conditions is for educational illustration only.

6. Risk Disclosure

Hypothetical or simulated performance results shown on the Platform have certain inherent limitations. Unlike actual performance records, simulated results do not represent actual trading and may not account for the impact of market factors such as liquidity constraints, slippage, or execution risk. Simulated results are designed with the benefit of hindsight and may over- or under-compensate for these factors.

You are solely responsible for evaluating the risks associated with any trading activity and for making your own independent decisions. Golf and Trades assumes no responsibility for any trading losses you may incur.

7. Memberships, Purchases, and Access

Access to certain areas of the Platform requires payment of applicable fees. By purchasing a membership or other paid product, you agree to pay all applicable fees and any applicable taxes.

Golf and Trades reserves the right to modify, discontinue, or change the features, content, pricing, or availability of any membership tier or product at any time with reasonable notice. Your continued use of the Platform after such changes constitutes your acceptance of the modified terms.

All purchases are subject to our refund policy as communicated at the time of purchase. Please review the refund policy before completing any purchase.

8. Account Security and Credential Restrictions

You are solely responsible for the security of your account credentials. You agree to:

• Keep your username and password confidential and not share them with any person.
• Not allow any other person to access the Platform using your credentials.
• Not sell, transfer, sublicense, or otherwise make your account available to others.
• Notify us immediately if you suspect any unauthorized use of your account.

We may monitor account activity for security purposes. Suspicious activity — including but not limited to logins from multiple geographic locations, concurrent sessions, or patterns consistent with credential sharing — may result in account suspension pending investigation.

9. Intellectual Property Rights

All content on the Platform — including but not limited to course materials, videos, audio recordings, written lessons, PDFs, playbooks, strategy frameworks, worksheets, community posts, tools, software, graphics, logos, and brand assets — is the proprietary intellectual property of GolfandTrades, LLC or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform content solely for your personal, non-commercial educational purposes. This license does not include the right to:

• Copy, reproduce, download, or store any Platform content beyond what is necessary for personal use.
• Screen-record, capture, or otherwise reproduce any video or audio content.
• Share, distribute, resell, sublicense, or make available any Platform content to any third party.
• Create derivative works based on Platform content without prior written permission.
• Use any Platform content for commercial purposes.

10. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to any part of the Platform or its systems.
• Use automated tools, bots, scrapers, or other means to extract data from the Platform.
• Interfere with or disrupt the operation of the Platform or its infrastructure.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Post or transmit any content that is defamatory, obscene, harassing, threatening, or otherwise objectionable.
• Attempt to reverse-engineer, decompile, or disassemble any software component of the Platform.
• Use the Platform to compete with Golf and Trades or to develop competing products or services.

11. Community Standards

If the Platform includes community features such as forums, chat, or discussion boards, you agree to engage respectfully and professionally. Golf and Trades reserves the right to remove any content and to suspend or terminate any account that violates these community standards or these Terms.

12. Payments, Subscriptions, and Refunds

Subscription fees are billed in advance on a recurring basis as described at the time of purchase. You authorize Golf and Trades to charge your payment method for all applicable fees. You may cancel your subscription at any time; cancellation will take effect at the end of the current billing period.

All sales are final unless otherwise expressly stated in our refund policy. Golf and Trades reserves the right to modify pricing at any time with reasonable advance notice to active subscribers.

13. Suspension and Termination

Golf and Trades reserves the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or any applicable policy.
• Suspected credential sharing, account sharing, or unauthorized access.
• Fraudulent activity, chargebacks, or payment disputes.
• Unauthorized downloading, scraping, or redistribution of Platform content.
• Conduct that is harmful to Golf and Trades, other users, or third parties.

Upon termination, your license to access the Platform immediately ceases. Golf and Trades has no obligation to retain or provide access to any content associated with your account following termination.

14. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, SERVICES, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. GOLF AND TRADES DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Golf and Trades makes no representations or warranties regarding the accuracy, completeness, or suitability of any educational content for your specific circumstances. Results discussed or shown on the Platform are not typical and are not a guarantee of your results.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOLFANDTRADES, LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, TRADING LOSSES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL LIABILITY OF GOLFANDTRADES, LLC TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO GOLF AND TRADES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

16. Indemnification

You agree to indemnify, defend, and hold harmless GolfandTrades, LLC and its members, managers, officers, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

17. Changes to Services and Terms

Golf and Trades reserves the right to modify, update, suspend, or discontinue the Platform or any part thereof at any time. We may also update these Terms from time to time. Material changes will be communicated to active members by email or by a notice within the Platform. Your continued use of the Platform following notice of updated Terms constitutes your acceptance of the changes.

If we update the legal terms to a new version, you may be required to re-accept the updated Terms before continuing to access the Platform. We maintain a record of all acceptances for compliance purposes.

18. Governing Law

These Terms and any dispute arising out of or relating to these Terms or your use of the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the courts located in the State of Delaware for the resolution of any such dispute.

19. Electronic Acceptance

By clicking "I Agree," checking an acknowledgment box, or otherwise electronically accepting these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms. Your electronic acceptance constitutes a valid and binding signature under applicable electronic signature laws, including the Electronic Signatures in Global and National Commerce Act (E-SIGN).

Golf and Trades maintains a record of your acceptance, including the version of the Terms accepted, the date and time of acceptance, and certain technical information associated with your session, for compliance and audit purposes.
